Terms of Service

1. Eligibility and Accounts

You must provide accurate and complete information when creating an account and must keep your account information current.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account. You must notify Jungle Software promptly if you know or reasonably suspect that your account has been accessed or used without authorization.

Each user must have their own account unless the applicable plan expressly permits another form of access. Account credentials may not be shared among multiple individuals, and you may not use another person's account without authorization.

The Services are not directed to children under 13. Individuals under 13 may not independently create an account. Individuals ages 13 through 17 may use the Services through an authorized educational account or otherwise with appropriate parent, guardian, school, or institutional authorization where required by applicable law.

2. Organizations, Projects, Ownership and Collaborators

Certain Services allow users to create organizations, production projects, budgets, schedules, or other shared workspaces and to invite other users to participate.

The person or organization that creates, purchases, or controls a project or organizational account may be designated as its owner or administrator (“Account Owner”). Within the Services, the Account Owner controls access to the applicable project or workspace, including who may participate and what permissions are assigned.

Collaborators do not acquire administrative control of a Gorilla Studio Online project merely because they contribute work to it. If a collaborator is removed, that collaborator's access may end, while prior contributions made within the project may remain part of the project.

Nothing in these Terms determines ownership of an underlying screenplay, copyright, production, employment work product, contract right, or other legal interest outside the Services. Jungle Software does not adjudicate ownership or control disputes among producers, writers, companies, schools, employees, contractors, students, instructors, collaborators, or other users.

Account Owners may transfer administrative control of an organization or project where the Services permit. Jungle Software may assist with a transfer when reasonably necessary and after appropriate verification, but is not obligated to resolve ownership disputes between users.

• Invite or remove users and assign roles or permissions;
• Control project access and administrative settings;
• Archive or delete projects where permitted;
• Manage subscription-related settings and seats where authorized; and
• Perform other account-management functions made available by the Services.

3. Permissions and Administrative Functions

Access to project features and administrative functions is determined by the permissions assigned to each user. Account Owners and authorized administrators are responsible for assigning appropriate permissions.

Users may not exercise administrative functions unless authorized by the applicable account or project settings. Normal collaborators do not have an automatic right to change billing information, transfer ownership, delete an account, or perform other owner-level functions.

Jungle Software is not responsible for actions taken by users who were granted access or permissions by an Account Owner or authorized administrator.

4. Subscription Plans and Service Levels

Gorilla Studio Online may be offered through different plans, including free and paid plans such as Free, Solo, Production, Studio, educational plans, promotional plans, trials, or other plans that Jungle Software may offer from time to time.

Different plans may provide different features and limits. The features and limits applicable to a plan are those displayed on our website or within the Services at the time you subscribe, subject to these Terms.

Jungle Software may add, remove, improve, replace, or modify features over time. We may also introduce new plans or discontinue existing plans. Free Services may be changed, limited, suspended, or discontinued at any time.

If a material reduction to a prepaid paid Service substantially affects the Service for which you have already paid, we may, as appropriate, continue the applicable functionality through the prepaid term, provide an alternative service, or offer a prorated refund.

Plans and service levels may differ with respect to:

• Number of active or archived projects;
• Number of users, editors, collaborators, viewers, or other seats;
• Storage and retention limits;
• Screenplay length or number of scenes;
• Reports, report customization, imports, and exports;
• Artificial intelligence features and usage allowances;
• Organization, School Mode, and administrative features;
• Support; and other functionality.

5. Free Accounts and Trials

Jungle Software may offer free accounts, free trials, promotional subscriptions, credits, or other limited-access Services.

A Free Plan may be used without a fixed expiration date unless otherwise disclosed, subject to the features, limits, retention rules, and acceptable-use requirements applicable to that plan.

Jungle Software may separately offer limited-time trials of paid features. Unless expressly stated otherwise at enrollment, a Free Plan that does not require payment information will not automatically become a paid subscription.

If a trial or promotional subscription will automatically convert to a paid subscription, the price, billing frequency, length of the trial or promotional period, automatic-renewal terms, and cancellation method will be disclosed before enrollment.

Jungle Software may limit or discontinue free or promotional accounts where we reasonably determine that multiple accounts, false information, automation, or other methods are being used to circumvent plan restrictions.

6. Fees, Billing and Automatic Renewal

Paid Services are offered at the prices shown at the time of purchase. Unless otherwise stated, subscription fees are billed in advance on a recurring monthly, annual, or other stated billing cycle.

By purchasing an automatically renewing subscription, you authorize Jungle Software and its payment providers to charge the applicable subscription fees, taxes, and other disclosed charges to your selected payment method for each subscription period until you cancel the subscription.

Your subscription will automatically renew at the end of each billing period unless you cancel it before the applicable renewal. You may cancel an online subscription through the online account or billing controls provided by Jungle Software or through another cancellation method we make available. Where required by law, users who subscribe online will be permitted to cancel online.

Cancellation stops future renewal charges but ordinarily does not terminate paid access immediately. Unless otherwise stated, you may continue using the paid Services through the remainder of the subscription period for which you have already paid.

Except where required by law or expressly stated in our refund policy, payments are non-refundable and partial subscription periods are not prorated.

We may change subscription prices. When required, we will provide advance notice before a price change applies to an existing subscription. If you do not wish to continue at the new price, you may cancel before the new price takes effect.

If a payment cannot be completed, we may attempt to process payment again, notify you, limit functionality, downgrade your account, or suspend access until payment is received. Applicable taxes may be charged in addition to advertised prices where required.

7. Downgrades, Archives and Plan Limits

When a paid subscription expires or is downgraded, the account may move to the Free Plan or another available service level. Projects that exceed the active-project limits of the new plan may be moved to archived status.

If the number of projects associated with the account also exceeds the archive or storage limits of the new plan, additional projects may become locked or otherwise unavailable until you upgrade, delete other projects, or otherwise bring the account within the applicable plan limits.

Jungle Software will not automatically delete a project solely because a paid subscription was downgraded or expired. Permanent deletion is governed by the retention and deletion provisions below.

8. Your Projects and User Content

The Services allow you to upload, import, enter, create, edit, store, organize, process, share, and export information and materials (“User Content”).

You retain ownership of your User Content. Jungle Software does not acquire ownership of your screenplay, schedule, budget, production, intellectual property, or other User Content merely because you use the Services.

You grant Jungle Software a limited, non-exclusive license to host, copy, transmit, process, display, modify, and otherwise use User Content only as reasonably necessary to provide, operate, maintain, secure, troubleshoot, improve, and support the Services and as otherwise described in our Privacy Policy.

You represent that you have all rights and permissions necessary to upload, process, share, and use User Content through the Services. You must not upload material that infringes another person's copyright, privacy, confidentiality, publicity, contractual, or other rights.

User Content includes, among other things:

• Screenplays and screenplay files;
• Production schedules and scene breakdowns;
• Budgets and financial planning information;
• Cast, crew, contact, location, and production information;
• Production notes, comments, attachments, images, and logos;
• Rate information, project documents, and other production-related information.

9. Screenplays, Imports and Exports

Certain Services may allow you to import or export files created by third-party products or services, including screenplay, PDF, spreadsheet, image, or other file formats.

You are responsible for ensuring that you have the legal right to upload and process imported material.

File conversions are inherently imperfect. Jungle Software does not guarantee that imported or exported files will reproduce every element, format, tag, calculation, layout, note, style, or other characteristic of the original file. You should review imported and exported information for accuracy before relying upon it.

References to third-party applications or file formats do not imply sponsorship, endorsement, or affiliation unless expressly stated.

10. Collaboration

Collaboration features may allow multiple users to access or modify a project. Changes made by an authorized collaborator may affect the project for every other user who has access to it.

You are responsible for selecting appropriate collaborators and assigning appropriate permissions. Jungle Software is not responsible for modifications, deletions, disclosures, or other actions performed by a user whom an Account Owner or authorized user has permitted to access a project.

You should not provide access to confidential, proprietary, personal, or sensitive production information to another user unless you are authorized to do so.

11. Artificial Intelligence Features

Some Services may include artificial intelligence or machine-learning features (“AI Features”). AI Features may include tools such as Breakdown Assistant AI, which assists with screenplay breakdowns, and Budget Assistant AI, which may generate proposed production budgets based on scheduling information, user-provided assumptions and answers, and selected budget parameters such as low, mid, or high budget levels.

AI-generated or AI-assisted results are estimates, suggestions, or organizational aids only. They may be incomplete, inaccurate, inconsistent, outdated, or unsuitable for a particular production. You are responsible for reviewing and verifying AI-generated results before relying upon them.

Jungle Software does not acquire ownership of your underlying screenplay, budget, schedule, production material, or other User Content through AI processing. Jungle Software will not use your private screenplay or other private project content to train its own general-purpose artificial intelligence models without your explicit consent.

User Content submitted to an AI Feature may be transmitted to third-party technology providers solely as reasonably necessary to process the requested feature. Such processing is subject to our Privacy Policy and applicable agreements with those providers.

Use of AI Features may be subject to plan-specific usage allowances, scene limits, credits, processing limits, or other restrictions.

Budget Assistant AI and Financial Planning

Budget Assistant AI is an estimating and production-planning tool. It does not replace the judgment of a qualified producer, production accountant, payroll professional, attorney, union representative, tax professional, insurer, or other professional.

Users are responsible for reviewing rates, fringes, taxes, contractual obligations, union requirements, payroll costs, production assumptions, and all other budget information before relying upon or using an AI-generated budget.

12. Production, Scheduling and Budgeting Information

Gorilla Studio Online is a production planning platform. Schedules, budgets, reports, rates, calculations, estimates, calendars, day-out-of-days reports, union-related information, fringes, production assumptions, and other information generated or presented through the Services are provided to assist with production planning.

They are not legal, accounting, tax, payroll, labor, union, insurance, financial, or other professional advice. Rates, rules, taxes, contractual requirements, union requirements, payroll practices, fringes, and production costs may vary by jurisdiction, agreement, production, date, and individual circumstances.

You are responsible for reviewing and verifying production information before relying upon it or using it for financial, contractual, payroll, union, legal, or production decisions.

13. Storage, Backups and Data Availability

Gorilla Studio Online is a cloud-based service and stores User Content on systems operated by Jungle Software and/or its service providers.

We use commercially reasonable measures designed to maintain the availability and integrity of the Services. However, no cloud service, storage system, backup system, or internet service can guarantee uninterrupted availability or protection against every form of loss.

Jungle Software uses commercially reasonable backup and recovery procedures but does not guarantee that User Content will be recoverable in every circumstance. Users should periodically export or otherwise preserve copies of production information that would be difficult or costly to recreate.

We may establish reasonable storage limits, archival policies, retention periods, or other technical limitations based upon subscription plan or operational requirements.

14. Cancellation, Export Access and Data Retention

Cancellation of a paid subscription does not necessarily immediately delete your account or User Content. If your subscription expires or is downgraded, projects may become archived, locked, read-only, or otherwise limited based on the plan then applicable to your account.

During the applicable retention period, users will ordinarily be permitted to retrieve or export retained User Content that they are authorized to access, even if editing or paid-only functionality is unavailable, subject to reasonable technical, security, and plan-related limitations.

An account that remains inactive for 12 consecutive months may become eligible for permanent deletion of stored project data. Before permanently deleting project data under this inactivity policy, Jungle Software will provide at least 30 days' advance notice using the contact information associated with the account.

If you sign in, reactivate the account, or otherwise resume meaningful account activity before the deletion date identified in the notice, the inactivity-based deletion process will be canceled or reset as appropriate.

You may delete projects or request account deletion using available account controls or by contacting Jungle Software where appropriate. Jungle Software may retain certain information after account or project deletion when reasonably necessary for backups, fraud prevention, security, dispute resolution, legal compliance, financial recordkeeping, or other legitimate purposes, as further explained in our Privacy Policy.

You are responsible for exporting any User Content you wish to preserve before requesting permanent account deletion.

15. Educational Accounts and School Mode

Jungle Software may offer educational subscriptions, classroom licenses, School Mode, or similar features to qualified educational institutions.

Educational institutions are responsible for determining which instructors, administrators, students, or other individuals are authorized to participate in their accounts and for obtaining any permissions or consents required by applicable law.

When a student participates through a School Mode class or other educational subscription, the applicable Professor, instructor, or authorized school administrator is granted full owner-equivalent access to the student projects created or maintained under that school subscription. This access includes the ability to view and work with the project and its applicable modules and content, including scheduling data, breakdown sheets, cast and crew information, stripboards or grids, reports, budgeting information, and other project data made available through the Services. Professor, instructor, and authorized school administrator access is an inherent feature of the educational subscription and does not depend on the student separately sharing, submitting, approving, or granting access to each project or module.

A student who wishes to create or maintain projects that are separate from the school subscription and not accessible to the Professor, instructor, or school administrator must create and maintain a separate personal Gorilla Studio Online account or paid subscription outside the educational account. Projects created under that separate personal account or subscription are not part of the school workspace unless the student expressly transfers or shares them into the school account.

Students retain ownership of their underlying creative material, subject to any separate agreements or institutional policies that apply between the student and school. Jungle Software does not determine academic ownership, grades, copyright disputes, or disputes between a student and an educational institution.

Student information obtained through an educational account will not be used by Jungle Software for unrelated advertising or commercial profiling.

Individuals under 13 may not independently create a Gorilla Studio Online account. Individuals ages 13 through 17 may participate through an authorized educational account or otherwise with appropriate authorization where required by applicable law.

Additional educational terms, order forms, data-processing terms, or agreements may apply to institutional accounts.

16. Administrative Access for Customer Support

Authorized Jungle Software personnel may access or temporarily impersonate a user account when reasonably necessary to provide requested technical support, diagnose or resolve a reported problem, or investigate a technical issue affecting the Services.

Such administrative access is intended solely for legitimate support and service-related purposes. Jungle Software personnel are not permitted to access a user's projects or User Content for personal purposes, unrelated business purposes, or to review the creative or production content of a project except as reasonably necessary to address the applicable support issue.

Administrative access does not transfer ownership of any User Content to Jungle Software.

17. Acceptable Use

You may not, directly or through another person:

• Use the Services for unlawful, fraudulent, abusive, threatening, harassing, or harmful purposes;
• Access or attempt to access accounts, projects, systems, servers, data, or networks for which you do not have authorization;
• Share account credentials or circumvent seat, user, project, storage, archive, AI usage, subscription, or other plan limitations;
• Create multiple accounts or otherwise manipulate the Services for the purpose of avoiding fees or usage restrictions;
• Sell, resell, rent, lease, sublicense, or commercially provide access to the Services unless Jungle Software has expressly authorized you to do so;
• Reverse engineer, decompile, disassemble, discover, copy, reproduce, or attempt to obtain the source code, architecture, algorithms, proprietary methods, or underlying technology of the Services except to the limited extent such restriction is prohibited by law;
• Use information obtained through non-public portions of the Services to develop or assist in developing a substantially similar or competing service;
• Introduce malware, viruses, malicious code, destructive routines, or other harmful technology;
• Interfere with or disrupt the Services or impose an unreasonable or disproportionately large load upon our systems;
• Use bots, scraping tools, automated scripts, crawlers, or other automated processes to access the Services except through an API or automation method expressly authorized by Jungle Software;
• Bypass or attempt to defeat security, authentication, usage metering, access restrictions, rate limits, or other safeguards;
• Upload or transmit content that infringes intellectual property rights, privacy rights, confidentiality obligations, or other rights;
• Impersonate another person or misrepresent your identity, authority, or affiliation; or
• Assist another person in doing any of the foregoing.

18. Suspension and Termination

We may suspend, restrict, or terminate your access to some or all of the Services if we reasonably believe that you have violated these Terms, your use creates a security risk, your use may harm Jungle Software or another person, your account is being used fraudulently or without authorization, you have failed to pay amounts when due, your use materially interferes with operation of the Services, or suspension is required by law.

Where reasonably practicable, we will attempt to provide notice and an opportunity to correct a violation before terminating a paid account, except where immediate action is appropriate for security, fraud, abuse, unlawful activity, or protection of users or the Services.

We may terminate free accounts that have been inactive for an extended period after providing any notice required by these Terms or applicable law. Termination does not eliminate obligations that accrued before termination.

19. Jungle Software Ownership

Jungle Software and its licensors retain all right, title, and interest in and to the Services, including software and source code; application design; user-interface elements; databases and data structures; technology and processes; documentation; graphics; logos; trademarks; report templates supplied by Jungle Software; proprietary algorithms; AI-related systems developed by or for Jungle Software; and improvements, updates, and modifications to the Services.

Except for the limited right to access and use the Services under these Terms, no intellectual property rights are transferred to you.

“Gorilla,” “Gorilla Scheduling,” “Gorilla Budgeting,” “Gorilla Studio,” “Jungle Software,” related product names, and associated logos and marks are trademarks or other proprietary property of Jungle Software and may not be used without authorization.

20. Feedback

If you submit ideas, suggestions, feature requests, comments, bug reports, workflow recommendations, or other feedback concerning the Services, you grant Jungle Software the unrestricted right to use that feedback to develop, improve, market, or operate its products and services without compensation or obligation to you.

This provision does not give Jungle Software ownership of your User Content.

21. Privacy and Security

Your use of the Services is subject to the Jungle Software Privacy Policy. The Privacy Policy explains how Jungle Software collects, uses, stores, processes, and discloses information associated with the Services.

We maintain administrative, technical, and organizational measures designed to protect information. However, no online system can be guaranteed completely secure.

You are responsible for using reasonable security practices, including protecting passwords, controlling collaborator access, and promptly removing users who should no longer have access to a project.

Jungle Software may access or preserve information when reasonably necessary to investigate fraud, abuse, security incidents, threats to the Services, or to comply with applicable law, legal process, or lawful governmental requests.

22. Third-Party Services

The Services may interact with or rely upon third-party services, including hosting providers, payment processors, artificial intelligence providers, email services, authentication systems, file formats, and other technology.

Jungle Software does not control every aspect of third-party services and is not responsible for interruptions or changes caused by third parties outside our reasonable control. Third-party services may be governed by their own terms and privacy policies.

Links to third-party websites or services do not constitute an endorsement unless expressly stated.

23. Changes to the Services

We may update, enhance, modify, replace, or discontinue features or portions of the Services. We may also automatically deploy software updates, bug fixes, security changes, interface changes, and other improvements without requiring action by you.

We will use reasonable efforts to avoid materially reducing the core functionality of a paid Service during a prepaid subscription period without providing an appropriate alternative, transition, or remedy.

24. Changes to These Terms

We may modify these Terms from time to time. The “Last Updated” date indicates when these Terms were most recently revised.

For material changes, we may provide notice by email, through the Services, on our website, or by another reasonable method. Where appropriate or required by law, we may ask you to affirmatively accept revised Terms.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms where permitted by law.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Jungle Software, its affiliates, officers, directors, employees, contractors, licensors, agents, and representatives from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms; your unlawful use of the Services; your User Content; your violation of another person's rights; or activity conducted through your account by you or a person whom you authorized to access it.

Jungle Software reserves the right to assume control of the defense of a matter otherwise subject to indemnification, in which case you agree to reasonably cooperate.

26. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

JUNGLE SOFTWARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AGENTS, AND REPRESENTATIVES DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; BE AVAILABLE AT ALL TIMES; BE COMPLETELY SECURE; MEET EVERY PRODUCTION REQUIREMENT; PRODUCE ERROR-FREE IMPORTS OR EXPORTS; PRESERVE USER CONTENT WITHOUT POSSIBILITY OF LOSS; PRODUCE ACCURATE AI RESULTS; PRODUCE ACCURATE SCHEDULES, BUDGETS, REPORTS, RATES, OR CALCULATIONS; OR ACHIEVE ANY PARTICULAR COMMERCIAL, CREATIVE, FINANCIAL, OR PRODUCTION RESULT.

YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING INFORMATION GENERATED THROUGH THE SERVICES BEFORE RELYING UPON IT. Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNGLE SOFTWARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR REVENUE; LOSS OR CORRUPTION OF DATA; LOST PRODUCTION TIME; PRODUCTION DELAYS; BUSINESS INTERRUPTION; LOSS OF OPPORTUNITY; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM AN INABILITY TO ACCESS OR USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNGLE SOFTWARE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO JUNGLE SOFTWARE FOR THE APPLICABLE ONLINE SERVICES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply to you.

28. Events Beyond Our Control

Except for payment obligations, neither party will be responsible for delay or failure to perform caused by events beyond its reasonable control, including internet or telecommunications outages, hosting failures, cloud-provider outages, electrical failures, natural disasters, fires, strikes, civil disturbances, governmental actions, cyberattacks, failures of third-party providers, or similar events.

29. Export Controls and Sanctions

The Services are subject to applicable United States export-control and sanctions laws. You may not access, use, export, re-export, transfer, or provide the Services in violation of applicable export-control or sanctions requirements.

30. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Except where applicable law provides otherwise, any judicial proceeding arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Ventura County, California, and you and Jungle Software consent to the jurisdiction and venue of those courts.

Except where prohibited by law, a claim arising out of or relating to these Terms or the Services must be brought within one year after the event giving rise to the claim, unless applicable law requires a longer period.

Optional Arbitration for Smaller Disputes

Excluding claims seeking injunctive or equitable relief, if the total amount in dispute is less than $10,000, either party may elect to resolve the dispute through binding arbitration conducted by an established arbitration provider agreed upon by the parties. Unless the parties agree otherwise, arbitration may be conducted remotely, online, by telephone, or through written submissions.

Individual Claims

To the maximum extent permitted by applicable law, claims must be brought on an individual basis and not as a plaintiff or class member in a class, collective, consolidated, or representative action. Nothing in this section limits rights that cannot lawfully be waived.

31. Copyright and Intellectual Property Complaints

Jungle Software respects intellectual property rights. If you believe material available through the Services infringes your copyright or other intellectual property rights, you may contact us at legal@junglesoftware.com.

We may remove or restrict access to allegedly infringing material and may terminate accounts of repeat infringers where appropriate.

Jungle Software may provide notices relating to the Services or these Terms by email to the address associated with your account; notification within Gorilla Studio Online; posting on a Jungle Software website; or another reasonable electronic method.

33. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms, order forms, subscription terms, or policies expressly incorporated into them, constitute the agreement governing your use of the Services.

You may not assign or transfer your rights under these Terms without our prior written consent. Jungle Software may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.

If any provision of these Terms is found unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions will remain in effect. Failure by Jungle Software to enforce a provision does not waive our right to enforce it later.

Headings are provided for convenience and do not affect interpretation. Any provisions that by their nature should survive termination, including provisions concerning ownership, User Content rights, payments, disclaimers, limitations of liability, indemnification, and disputes, will survive.

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, or agency relationship between you and Jungle Software.
